Hughes River FM, LLC v. Ximalaya, Inc. — 7th Cir. (Nov 5, 2026)
The Seventh Circuit hears Hughes River's challenge to a merger involving a Chinese audio platform. Hughes River owned shares in the platform and says it was forced to sell on unfair terms when the platform agreed to merge with a music entertainment company. It sued the platform, its chief executive, and the buyer in federal court in Illinois. The investor points to merger-related messages received by its manager in Illinois. The district court dismissed the case for lack of personal jurisdiction, meaning authority over the defendants, not a ruling that the merger was fair. The investor's lawyer will argue that the messages and the defendants' Illinois business activities justify proceeding, or at least require an evidentiary hearing. The defendants will answer that contacts with a shareholder do not necessarily establish contacts with the state, and that unrelated business does not supply the missing link. The panel will also press questions about foreign companies' citizenship, the reach of American securities law, and shareholder claims brought on a company's behalf. Listen for the distinction between alleged unfair treatment and the threshold questions about where, and under what law, this dispute can be heard.
