Oasis Capital, LLC, Appellant v. Nason, Yeager, Gerson, Harris & Fumero, P.A., et al. — 11th Cir. (Oct 2, 2026)
The Eleventh Circuit hears Oasis Capital versus the Nason Yeager law firm and Brian Bernstein. Oasis financed companies through convertible promissory notes—debts that can be turned into shares of stock. Oasis says its lawyers failed to file paperwork protecting its security interests, and sued for malpractice, breach of contract and breach of fiduciary duty. The lawyers deny wrongdoing. After a trial, Oasis brought this appeal. The dispute concerns responsibility for filing a U C C one financing statement, and the difference between negligent legal work and a broken contractual promise. A U C C one is a public notice that a creditor claims a security interest in a borrower's property.
