Bancredito Holding Corporation v. Driven Administrative Services, LLC — 1st Cir. (Nov 5, 2026)
The First Circuit hears a dispute over the liquidation of a Puerto Rico bank. With the bank's license revoked, a receiver took charge of its liquidation. The bank's sole shareholder later sued the receiver, alleging negligence, breaches of duty, and unnecessary artwork sales that harmed the bank. An earlier settlement, however, assigned disputes connected with the receivership to Puerto Rico's banking regulator, with exclusive jurisdiction as allowed by law. The district court enforced that clause and dismissed these claims without deciding whether the receiver had acted wrongfully. The shareholder will argue that ordinary negligence and corporate-law claims fall outside the regulator's legal powers, leaving it without an adequate remedy. The receiver will respond that these claims concern the agreed liquidation arrangements and that other relief is available. Listen for the difference between what the agreement covers and what the agency can legally decide, and for whether a forum-selection clause can send claims somewhere that cannot provide the requested remedy.
